Challenges – Raising Funds

When you start your innovation journey, one of the major challenges will be the raising funds. If you use funding circles or innovation clubs/facilitators you will be charged fees at each stage of the process. A typical fee structure is:

  • Stage 1 – 799 entry fee (takes up to 2 months)
  • Stage 2 – 6.5% of funds raised (2016) (takes up to 6 months)
  • Stage 3 – £1,600 completion fee

So to raise 250K will cost £18,649.

At IPDynamix, we are more flexible about the process for raising funds. We recognise that every innovation opportunity will require specific financing options – which we will facilitate.

Challenges – Process

To engage with investors who may be interested in your proposals, you will need the following:

  1. Elevator pitch
  2. Introduction to your company
  3. Introduction to your product or service
  4. Description of the business opportunity
  5. Short presentation deck
  6. Full presentation deck
  7. Printed introductory brochure
  8. Good website
  9. White papers around the technical space you occupy
  10. Presentation of IP history, status and futures
  11. Working prototype
  12. Site test results
  13. User testimonials
  14. Other evidence of user demand (e.g. Letters of Intent to purchase)
  15. Full business plan text (which comprises a range of departmental plans).
  16. Full business plan financials

At IPDynamix we are able to produce all of these documents as part of our work

Challenges – Equity

When an investor has expressed an interest in coming on board – there will be a wide range of options to consider/negotiate:

  1. % equity
  2. debentures/convertible loans
  3. coupon
  4. time scales
  5. directorship/s
  6. warranties
  7. power over IP/other assets

IPDynamix are skilled in helping you to negotiate all these elements of a deal – providing clear objective advice on the pros and cons.

IPDynamix provideu00a0a unique and all encompassing service.

If, alternatively, you employ a number of specialist agencies who manage just a small part of this portfolio of needs, the time to implementation may lengthen considerably. If you adopt the individual specialist agencies model, you could expect the whole process to take a year and cost anything from £25,000 – £40,000

Challenge – Reaching Completion

To complete a commercialisation project you will need legal documents that may include:

  1. Confidentiality Agreement
  2. Heads of Terms
  3. Option Agreement
  4. Share Sale and Purchase Agreement
  5. Investment Agreement
  6. Shareholder Agreement
  7. Director Service Agreement
  8. Incentive Scheme
  9. HR and Policy documents
  10. Insurances for Key Man, IP infringement, D&O, premises etc.
  11. Sales Agency Agreement
  12. Employment Contract
  13. Consultancy Agreement

To have all these documents prepared by a corporate lawyer could cost £15,000 – £20,000.

IPDynamix has cost effectively produced drafts of all these legal documents for client companies. We are ready and able to respond quickly and cost effectively to the needs of your business.

In addition IPDynamix can manage external professional relationships for you e.g. legal, financial, IP and governance, and we work hands-on to achieve profitable business development, and growth in shareholder value.

We ensure you remain in control of the development and prosperity of your proposals
